Dear Westwood Farms Subdivisions Unit Owner:
You may recall that the Board of Directors previously introduced an Amended and Restated Declaration and Bylaws to the owners in 2019. Unfortunately, the amendment documents were not approved. Since then, the Board, together with our attorneys at the law firm of Kaman & Cusimano, LLC, have revised the documents based on owner input. The Board believes the amended documents remain timely and in the best interest of protecting our property values and in keeping our Association running efficiently and effectively.
The rationale for this project is to update and improve our outdated Declaration due to changes in Ohio law and adequately reflect our community’s lifestyle and make changes the Bylaws to afford easier and more efficient operation and administration of the community. To assist in your evaluation and understanding of the revised, proposed Amended Declaration and Bylaws, the documents have been “marked up” to show the revisions in 2 categories. Changes that are “required” due to changes in the law or needed to protect the Association are marked in red. All other “lifestyle” issues, changes, and updates are marked in green. We encourage you to carefully read and review the enclosed, updated Amended and Restated Declaration and Bylaws.
The Amended Declaration requires our community to hold a meeting for the purpose of voting on amendments. This letter serves as NOTICE of a SPECIAL MEETING to be held on Wednesday, June 5th, 2024 at 7:00 pm at the Westwood Farms Clubhouse, 21832 Country Way, Strongsville, Ohio 44149. The Board of Directors and the Association’s Attorney, Nick Meinert, will be available at the meeting to answer any questions you may have about the rewrite.
Once you fully review the enclosed documents, we ask that you cast your vote to approve the proposed 2nd Amended Declaration and Amended Bylaws with the enclosed limited proxy prior to the meeting. Please complete and return the proxy ballot in the enclosed envelope, regardless of whether you plan to attend the meeting, to the Board of Directors.
If you do attend the meeting, your proxy ballot will be returned to you at that time. In accordance with our Amended Declaration, a 75 percent affirmative vote of the ownership interest must be obtained for the passage of the amendment. Voting on the amendment will remain open until the amendment is either approved by the requisite percentage of the owners or it fails. We are hopeful, however, that we will reach 75 percent
or more approval on the meeting date. Voting will officially remain open until the proposal either passes or fails.
